Yale’s role is limited to facilitating introductions and providing advisory guidance to clients pursuant to separately executed engagement agreements. Nothing on this Site creates an advisory, fiduciary, brokerage, or agency relationship between Yale and any visitor. Any descriptions of past transactions, deal structures, or advisory services are provided for illustrative purposes only and do not represent a guarantee of future results, availability of services, or commitment to engage. All terms, structures, and arrangements referenced on this Site are subject to the execution of a formal written agreement.
5. Intellectual Property All content on this Site, including but not limited to text, graphics, logos, images, data compilations, software, and the overall look and feel of the Site (collectively, “Content”), is the proprietary property of Yale or its licensors and is protected by United States and international copyright, trademark, trade dress, and other intellectual property laws. 11. Governing Law and Jurisdiction These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida, and you hereby consent to personal jurisdiction and venue in such courts.
12. Severability and Entire Agreement If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. These

Terms, together with Yale’s Privacy Policy, constitute the entire agreement between you and Yale with respect to your use of the Site and supersede all prior or contemporaneous communications, representations, or agreements, whether written or oral, relating to such subject matter.
